BD's Corporate Development Department has responsibility for supporting the development and execution of both short- and long-term growth strategies of the Company and partnering with its worldwide business units, regions, and innovation center. Individuals in the Department identify, evaluate, value, structure and negotiate business opportunities including acquisitions, divestitures, strategic alliances, and equity investments. The Department develops and acts as an objective advisor regarding the strategic fit, valuation, and structuring of these numerous opportunities. Individuals in the Department are expected to provide overall project / deal management and, where appropriate, to work with the Leadership Teams of worldwide business units. Finally, the Department is responsible for shaping and executing BD’s corporate strategy as well as developing and maintaining valuation models and transactional, diligence and integration processes.

Responsibilities:

  • The Director will be a key leader on the Corporate Development team responsible for leading and supporting teams developing M&A strategies, identifying potential targets, and overseeing all aspects of transaction execution

  • Serve as day-to-day lead across all aspects of M&A transaction processes including target identification, due diligence, coordination, valuation, structuring, negotiation and closing

  • Partner with business unit business development and strategy teams to build and maintain an active funnel of potential acquisition opportunities and oversee the tracking of acquisition opportunities

  • Work in close partnership with business unit leadership to develop investment theses for potential acquisitions, joint ventures, investments, divestitures, and other strategic opportunities and create detailed operating models to stress test key assumptions

  • Lead, organize, and motivate cross-functional deal teams comprised of both internal associates and external advisor relationships (investment banks, law firms, industry consultants, accounting firms)

  • Build, review and present financial models and related analyses, including discounted cash flow, LBO, merger consequences and investment returns for potential transactions

  • Lead the development and execution of transactional plans

  • Oversee all aspects of the due diligence process including planning, execution, leadership reviews

  • Identify deal risks and work with business unit and functional leaders to assess and devise solutions

  • Partner with legal counsel and tax advisors to structure transaction and negotiate transaction documents

  • Perform industry and competitive research, often in partnership with corporate strategy and business unit SMEs, to support M&A strategy and inform senior leadership

  • Present findings to senior management and BD’s investment committee

  • Build partnerships with business units, regional representatives, and functions to enhance overall transactional process, understand strategic priorities and maintain robust funnel of potential opportunities

  • Lead, train, and mentor Corporate Development team members

Qualifications:

  • B.A. or B.S. degree with demonstrated quantitative and strategic thinking aptitude. M.B.A. or equivalent degree preferred

  • Intellectual acuity and strong analytical skills required

  • Minimum of ten years of experience, preferably in investment banking, corporate finance or corporate development/M&A with meaningful hands-on transaction experience including funnel building, deal structuring, managing due diligence and negotiating transaction terms

  • Experience in the life sciences, medical or health care industry preferred, but not required

  • Exceptional corporate finance and modeling skills including ability to independently create ad hoc financial analyses

  • Proven track record of leading deal teams and developing consensus in functionally diverse groups

  • Demonstrated leadership ability, including developing and empowering professionals and mentoring junior team members

  • Extensive deal, due diligence, and project management experience

  • Proven ability to manage and appropriately prioritize multiple projects and initiatives in a dynamic and fast-paced environment

  • Strong capabilities in understanding, structuring and negotiating complex transaction documents

  • Excellent written and oral communications skills

  • Highly poised executive presence with the ability to interact with senior executives and handle pressure settings with confidence

  • Exemplary attention to detail in all aspects of work product

  • Positive attitude, a strong work ethic and commitment to clear and open communication

  • Willingness for periodic travel both domestic and internationally, as required
